At Kaimakliotis & Co, our experienced and committed team can register the branch of a foreign company when the client wishes to operate in Cyprus through the use of a branch rather than a subsidiary. This needs to be done in accordance with the Cyprus Company Law, Charter 113, and must comply with the requirements of the Registrar of Companies, in order to ensure that unnecessary delays and complications are avoided.

The Cyprus Registrar of Companies has the following requirements:

  • Certified copy of its' Constitution (or the Charter, or the Memorandum and Articles of Association).
  • Name and contact details of a branch representative who shall be a person residing in Cyprus and who shall be authorised to duly represent the company in Cyprus.
  • Details of the foreign Company's director(s) and secretary. 

Once the registration is complete, the client will be provided with the relevant corporate certificates, and the branch will be ready to register with the VAT and income tax authorities to begin operations.
